DISTANCE SALES CONTRACT

**1. PARTIES**

This Agreement has been signed between the parties below under the following terms and conditions.

By accepting this agreement, the BUYER acknowledges in advance that they will be obligated to pay the order amount and any additional fees, such as shipping fees and taxes, if applicable, once the order is confirmed.

**2. DEFINITIONS**

In the implementation and interpretation of this agreement, the terms written below will refer to the explanations provided next to them.

**LAW:** The Consumer Protection Law No. 6502,
**REGULATION:** The Regulation on Distance Contracts (Official Gazette: 27.11.2014/29188),
**SERVICE:** Any consumer transaction that is not related to the provision of goods in exchange for a fee or benefit,
**SELLER:** The company offering goods to the consumer within the scope of its commercial or professional activities or acting on behalf of or in the interest of the goods provider,
**BUYER:** The real or legal person who acquires, uses, or benefits from a good or service for non-commercial or non-professional purposes,
**SITE:** The website owned by the SELLER,
**ORDERING PARTY:** The real or legal person requesting a good or service from the SELLER's website,
**PARTIES:** The SELLER and the BUYER,
**AGREEMENT:** The agreement concluded between the SELLER and the BUYER,
**PRODUCT:** The movable property subject to shopping and intangible goods prepared for use in electronic environments such as software, sound, video, etc.

**3. SUBJECT**

This Agreement regulates the rights and obligations of the parties concerning the sale and delivery of the product ordered by the BUYER electronically via the SELLER's website, including the product's qualities and sale price, under the provisions of the Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

The prices listed and announced on the website are the sale prices. The advertised prices and commitments are valid until updated and changed. Temporary prices are valid until the end of the specified period.

**7. PRODUCT INFORMATION**

1. The basic qualities (type, quantity, brand/model, color, quantity) of the product(s) or service subject to the agreement are available on the SELLER's website. You can review the essential qualities of the product during any campaign organized by the seller. The campaign is valid until the specified date.

7.2. The prices listed and advertised on the site are sale prices. The advertised prices and commitments are valid until updated and changed. Temporary prices are valid until the end of the specified period.

7.3. The total price, including all taxes, for the product or service subject to the agreement is shown below.

7.4. The shipping fee for product shipment will be paid by the BUYER.

**9. GENERAL PROVISIONS**

9.1. The BUYER acknowledges that they have read and understood the basic characteristics of the product subject to the agreement, the sale price, and the payment method on the SELLER's website and that they have confirmed the necessary information electronically. The BUYER further confirms that before the conclusion of this distance sales agreement, they have received the correct and complete information regarding the SELLER's address, the main characteristics of the ordered products, the total price including taxes, payment and delivery details.

9.2. Each product subject to the agreement shall be delivered to the BUYER or the person/organization at the address indicated by the BUYER within the period stated in the preliminary information on the website, provided that the legal period of 30 days is not exceeded. If the product cannot be delivered within this period, the BUYER reserves the right to terminate the contract.

9.3. The SELLER agrees to deliver the product subject to the contract in full, in accordance with the specifications specified in the order, and with the documents such as warranty certificates and user manuals, if any, free from any defects, per legal requirements, in a sound manner, and to act with honesty and integrity during the execution of the contract.

9.4. The SELLER, with the explicit consent of the BUYER, may provide a different product of equal quality and price before the fulfillment period of the contractual obligation ends.

9.5. If it is impossible to fulfill the product or service subject to the order, the SELLER shall inform the BUYER in writing within 3 days from the date of learning of this situation and refund the total price to the BUYER within 14 days.

9.6. The BUYER acknowledges that they must confirm this Agreement electronically for the delivery of the product subject to the agreement and that the SELLER's obligation to deliver the product will cease if the product price is not paid or if the payment is canceled in the bank records for any reason.

9.7. If the BUYER's credit card is used unlawfully by unauthorized persons after the delivery of the product to the BUYER or the person/organization at the address indicated by the BUYER and if the bank or financial institution does not pay the product price to the SELLER, the BUYER agrees to return the product to the SELLER within 3 days, with the shipping costs borne by the SELLER.

9.8. If unforeseen circumstances arise beyond the control of the parties, and if this prevents or delays the SELLER from fulfilling the product within the agreed time, the SELLER agrees to notify the BUYER. The BUYER then has the right to request the cancellation of the order, the replacement of the product with a similar one, or the postponement of the delivery until the obstructive condition is resolved. In case of order cancellation, the amount paid by the BUYER is refunded in cash within 14 days.

9.9. The SELLER has the right to contact the BUYER via letter, email, SMS, phone call, or other communication methods for communication, marketing, and other purposes using the contact information provided by the BUYER while signing up or updated later. The BUYER agrees and acknowledges this communication upon accepting this Agreement.

9.10. The BUYER shall inspect the product before taking delivery and shall not accept the delivery of any damaged or defective product (e.g., crushed, broken, torn packaging) from the shipping company. After the product is delivered, it is deemed to be undamaged and in good condition. The BUYER must properly protect the product if they decide to exercise their right of withdrawal. The product must not be used, and the invoice must be returned.

9.11. In cases where the credit card holder and the BUYER are different persons, or if a security vulnerability is detected before the product is delivered, the SELLER may request the BUYER to submit additional documents, such as the ID and contact details of the cardholder, a previous month's credit card statement, or a letter from the cardholder's bank. If the BUYER does not fulfill these requests within 24 hours, the SELLER reserves the right to cancel the order.

9.12. The BUYER declares that the personal and other information provided while signing up for the SELLER's website is truthful and that they will indemnify all damages that the SELLER may incur due to false information immediately upon the SELLER's first notice.

9.13. The BUYER agrees to comply with all legal regulations while using the SELLER's website and not violate them. Otherwise, all legal and penal obligations will be borne solely by the BUYER.

9.14. The BUYER may not use the SELLER's website in any way that violates public order, offends general morality, harasses or disturbs others, for illegal purposes, or infringes upon others' intellectual and proprietary rights.

9.15. The SELLER's website may contain links to other websites and/or other content that is not under the SELLER's control. These links are provided to facilitate the BUYER's access and do not guarantee or support the content or owners of these websites.

9.16. The BUYER is personally responsible for any breach of the terms specified in this Agreement, and the SELLER will be exempt from any legal and penal consequences resulting from these breaches.

**10. RIGHT OF WITHDRAWAL**

10.1. The BUYER has the right to withdraw from the contract without any legal or criminal liability and without providing any reason within 14 (fourteen) days from the date the product is delivered to the BUYER or the person/organization at the address indicated by the BUYER, in the case

of distance contracts relating to the sale of goods. For distance contracts relating to the provision of services, this period begins from the date of the conclusion of the contract.

10.2. The BUYER may use their right of withdrawal by sending a notification to the SELLER through the contact details provided below within the 14-day period. The BUYER must return the product to the SELLER within 10 days after notifying the SELLER of their decision to withdraw, with the return shipping costs borne by the SELLER.

10.3. In case of exercising the right of withdrawal, the product must be delivered with its original box, packaging, standard accessories, and any other products provided as a gift during the purchase, if any. The product and its packaging must not be damaged, and the invoice must be returned.
